These Terms of Service (“Terms”) govern your use of the ZENS application on Android, iPhone, iPad, Mac and Windows, ZENSBUDS-compatible features, AI Notes, Translation, Ask AI, Lily, Voice Clone and related cloud services (collectively, the “Service”). By creating an account, using Guest Mode, purchasing a plan or feature, or otherwise using the Service, you agree to these Terms.
The Service is provided by ZENSBUDS LIMITED, Room 715, 78-84 Kwai Cheong Road, Kwai Chung, New Territories, Hong Kong, unless the app, store listing, purchase flow or local terms identify another ZENS entity as the provider for your region, including 株式会社ZENS in Japan where stated (“ZENS”, “we”, “us” or “our”).
You must be at least 18 years old to use the Service. By using the Service, you represent that you are at least 18 and have legal capacity to agree to these Terms. Where the age of majority where you live is higher than 18, that higher age applies.
ZENS provides software and cloud functionality that may work with ZENSBUDS earbuds and supported devices to translate conversations and calls, record and summarise meetings through AI Notes, provide AI-assisted answers through Ask AI and Lily, store selected memories, generate speech, create a Voice Clone for translation, and provide other related functions.
Features, supported languages, AI models, device compatibility, usage limits and availability may change over time. Some features require compatible ZENSBUDS hardware, an internet connection, device permissions, a paid plan or a separate feature purchase.
You may access supported parts of the Service using an email-based account, Google Sign-In, Apple Sign-In or Guest Mode. ZENS does not use SMS verification for account access.
Some functions require device permissions or special access, including microphone, Bluetooth, contacts, notifications, photos/files/storage, location and background microphone; on iPhone and iPad also camera and calendar access; and on Android also display-over-other-apps access and MediaProjection. You choose whether to grant optional permissions. If you refuse or later withdraw a permission, the function that depends on it may not work.
ZENS does not request or use Android Accessibility services or any platform's assistive-technology interfaces to read or act inside other apps, and does not require access to your call log. On Android, display-over-other-apps access is used only for floating translated subtitles and does not let ZENS read or control the underlying app. Android MediaProjection is used only when you deliberately start video translation or online-meeting capture; it captures audio only, not images of your screen, and Android presents its own consent prompt and visible indicator. Background microphone access is used only to continue a recording or translation session that you deliberately start. Location is used for location-dependent functions and, on Android versions where required, Bluetooth scanning. On iPhone, iPad, Mac and Windows the app does not capture the screen or the audio of other apps and does not display over other apps.
AI Notes, meeting recording, live translation, call translation and related functions can capture or process the voices, words or information of other people. Laws about recording, consent, interception, privacy and workplace monitoring differ by jurisdiction.

If you add a speaker identity, contact card or memory about another person, you are responsible for having a lawful basis to provide and use that information through the Service.
Translations, transcripts, summaries, speaker labels, action items, search results, AI answers and other generated outputs may be inaccurate, incomplete, delayed or contextually wrong. AI systems may misunderstand names, accents, specialised vocabulary, background noise or ambiguous speech.
Voice Clone is an optional feature that may require a separate purchase or entitlement. At setup, you read a short passage of approximately 10–15 seconds. The generated voice is restricted to supported translation functions.
“User Content” means recordings, audio, text, prompts, translations, documents, images, contact cards, meeting material, memory entries and other content you submit to or create through the Service.
You retain ownership of your User Content. You grant ZENS a limited, non-exclusive, worldwide licence to host, copy, transmit, process, transform and otherwise use User Content only as reasonably necessary to provide, secure, maintain and improve the Service, comply with law and exercise rights under these Terms. This licence ends when the relevant content is deleted from ZENS-controlled active systems, except for lawful retention, backup or dispute-related copies.
ZENS does not claim ownership of your recordings, transcripts or translations. ZENS does not permit third-party AI providers to use your Service content to train their general-purpose models for unrelated customers under ZENS’s business/API arrangements. ZENS may use aggregated or de-identified statistical patterns to improve reliability and product performance.
If ZENS introduces a programme that uses identifiable User Content to train or fine-tune a ZENS-owned translation model in a materially different way, ZENS will provide updated notice and any consent or controls required by applicable law before that use begins.
ZENS may offer monthly and annual subscriptions, free monthly usage allowances, trial credits, purchasable extra minutes and separately purchasable functions such as Voice Clone. The price, included minutes, feature limits and renewal terms shown at checkout form part of your purchase terms.
Refunds, cancellation rights and billing remedies are governed by the applicable purchase channel and mandatory consumer law. Nothing in these Terms removes a refund, withdrawal or statutory warranty right that cannot legally be excluded.
The Service may integrate with ZENSBUDS hardware and third-party services, including Google, Apple, Alibaba Cloud, OpenAI, Anthropic, Microsoft, map, weather and search providers. Third-party services may have their own terms and privacy practices. ZENS is responsible for its own Service and contractual relationships, but is not responsible for third-party services to the extent a failure is outside ZENS’s reasonable control and applicable law permits that allocation of responsibility.
You must not use the Service to:
The Service, including the ZENS and ZENSBUDS brands, software, interface, documentation, designs, models, databases and other ZENS-provided content, is owned by or licensed to ZENS and is protected by applicable intellectual-property laws. Except for the limited right to use the Service under these Terms, no intellectual-property rights are transferred to you.
Feedback you voluntarily provide may be used by ZENS to improve products without compensation or restriction, provided ZENS does not publicly identify you without permission.
ZENS may update, improve, replace or discontinue features, models, supported languages, usage limits or integrations. ZENS will use reasonable efforts to avoid materially reducing a paid feature during a prepaid period without notice or an appropriate remedy where required by law.
The Service may be unavailable because of maintenance, network conditions, device limitations, third-party outages, legal restrictions, emergencies or events outside reasonable control. ZENS does not guarantee uninterrupted operation, but this does not limit any service-level commitment or mandatory right expressly applicable to you.
You may stop using the Service at any time. You may delete your account through the available in-app settings. Account deletion is immediate from the user’s perspective and irreversible; deleted accounts cannot be recovered.
ZENS may suspend or terminate access where reasonably necessary because of material breach of these Terms, unlawful use, security risk, fraud, payment failure, abuse, sanctions/legal requirements, or risk to users or the Service. Where appropriate and legally required, ZENS will provide notice and an opportunity to remedy the issue before permanent termination.
Termination does not automatically create a refund right beyond the purchase terms or mandatory consumer law. Provisions that by their nature should survive termination, including intellectual-property, payment, liability, dispute and enforcement terms, will survive.
To the maximum extent permitted by applicable law, the Service is provided on an “as available” basis. ZENS does not warrant that AI-generated outputs will always be accurate, that every language or device will perform identically, or that third-party integrations will always remain available.
Nothing in these Terms excludes statutory guarantees, warranties or consumer rights that cannot legally be excluded. In jurisdictions where certain implied warranties cannot be disclaimed, the disclaimer above applies only to the extent permitted by law.
To the maximum extent permitted by applicable law, ZENS will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or business opportunity, arising from use of or inability to use the Service, except where such exclusion is prohibited by law.
For claims that may lawfully be limited, ZENS’s aggregate liability arising out of the Service during the twelve months before the event giving rise to the claim will not exceed the greater of: (a) the amount you paid to ZENS for the affected Service during that twelve-month period; or (b) US$100. This cap does not apply to liability that cannot legally be limited, including liability arising from fraud, wilful misconduct, death or personal injury caused by negligence where applicable law prohibits limitation, or mandatory consumer rights.
To the extent permitted by law, if you use the Service on behalf of a business or organisation, that business or organisation agrees to indemnify ZENS against third-party claims arising from its unlawful recording practices, infringement of third-party rights or material breach of these Terms. This section does not require an individual consumer to indemnify ZENS where such an obligation would be prohibited or unfair under applicable consumer law.
Unless mandatory local law requires otherwise, these Terms and any non-contractual dispute arising from the Service are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-laws principles. Subject to mandatory consumer rights, the courts of Hong Kong have non-exclusive jurisdiction over disputes arising from these Terms or the Service.
If the app, store listing or purchase terms identify 株式会社ZENS as the contracting entity for a transaction in Japan, the locally displayed terms may specify Japanese law and courts for that transaction. Mandatory consumer, privacy and procedural rights in your country or region are not waived by this section.
Before filing a claim, you and ZENS are encouraged to contact each other and attempt to resolve the issue informally, unless immediate legal action is necessary or local law provides otherwise.
ZENS may update these Terms to reflect changes to the Service, law, security, pricing structures or business operations. If a change materially affects your rights or an ongoing paid service, ZENS will provide reasonable notice before the change takes effect where required. Continuing to use the Service after the effective date of revised Terms constitutes acceptance only to the extent permitted by law.
